These Terms govern your use of the CAPMATCH platform. By registering or using the platform, you agree to be bound by them on behalf of the organisation you represent, and you confirm that you have authority to do so.

CAPMATCH Ltd operates a private, membership-only digital platform on which GPs, independent sponsors and placement agents ("Listing Parties") post private market opportunities, and professional and institutional investors ("Investor Members") browse them and contact Listing Parties directly. CAPMATCH provides no investment advice, takes no part in negotiation, documentation, settlement or the transfer of money, does not hold client money, and receives no compensation linked to capital raised or transactions completed. CAPMATCH Ltd is not authorised by the Financial Conduct Authority.

2.1 The platform is available only to persons acting on behalf of an organisation, not in a personal capacity.

2.2 Investor Members must fall within at least one of the following categories, as declared at registration: (a) investment professionals, within the meaning of article 19 of the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005 (the "FPO"); (b) directors, officers or employees of high net worth companies, partnerships, unincorporated associations or trusts, within the meaning of article 49 of the FPO; or (c) organisations located outside the UK that may lawfully receive information about private investment opportunities under the laws of their jurisdiction.

2.3 Listing Parties must hold any authorisations, registrations or exemptions required to promote and raise capital for the opportunities they post, in each jurisdiction where they do so.

2.4 You must tell us promptly if your declaration ceases to be true. We will ask you to re-confirm it each year. We may ask you to verify your status at any time, and may refuse, suspend or remove access at our discretion.

You agree to:

- Provide accurate and truthful information when registering

- Keep your login credentials secure

- Use the platform only for lawful and professional purposes

You must not:

- Share confidential deal information outside the platform without permission

- Misrepresent yourself or impersonate others

- Attempt to scrape, copy, or interfere with the site
- Use the platform on behalf of, or share listing information with, any person who does not meet the eligibility criteria in section 2

- Use the platform to solicit other members' investors or clients

4.1 Listing Parties are solely responsible for their listings and any documents they upload, including their accuracy, completeness and compliance with applicable law. Listings and documents are prepared for, and directed only at, the persons described in section 2.2. Persons without professional experience in matters relating to investments should not rely on them.

4.2 CAPMATCH reviews listings only for completeness and consistency of data. CAPMATCH does not verify, endorse, rate or recommend any listing, Listing Party or opportunity, and may refuse, edit for format, or remove any listing at its discretion.

4.3 Listings are visible only to logged-in members. No part of a listing is shown publicly.

4.4 When an Investor Member uses "Contact sponsor", CAPMATCH passes their name, organisation and contact details to the Listing Party. Any discussion, due diligence, documentation and investment then takes place directly between them, outside the platform. CAPMATCH is not a party to it.

4.5 You retain ownership of your content and grant CAPMATCH a limited, non-exclusive licence to display it to eligible members within the platform for as long as it is listed.

4.6 We are not responsible for the accuracy or completeness of content provided by other members, or for the outcome of any contact, discussion or investment arising from the platform.

5.1 CAPMATCH charges a flat annual membership fee, payable in advance, and may offer an initial free period. Fees are non-refundable unless stated otherwise.

5.2 Featured listings are paid placements at a flat fee and carry no endorsement.

5.3 No fee charged by CAPMATCH is linked to, or payable on, capital raised, an investment made or a transaction completed, whether during or after membership.

• CAPMATCH Ltd is not authorised by the Financial Conduct Authority and does not provide investment advice.

• Nothing on the platform is an offer, solicitation or recommendation to buy or sell any investment.

• Private market investments carry a high degree of risk, including loss of the capital invested, and are illiquid. Members must make their own assessment and take independent legal, tax and financial advice.

• Data, analytics and tools on the platform are compiled from information supplied by Listing Parties or by members, may be incomplete or out of date, and are provided for information only. They are not a rating, valuation or recommendation.

• We make no guarantee about the availability of any opportunity or the outcome of any contact.

All content, branding, and technology on the site (except user-submitted content) is owned by CAPMATCH Ltd. You may not reproduce, copy, or distribute our materials without written consent.

We may suspend or terminate your access at any time if you breach these Terms. You may close your account at any time by contacting us.
On termination, your access ends and your listings are removed. Sections 4.6, 6, 9 and 10 continue to apply.

9.1 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.

9.2 Subject to 9.1, CAPMATCH Ltd is not liable for:
- Any losses arising from use of the platform 

- Decisions made based on content or interactions on the site 

- Technical failures or service interruptions
 

9.3 Subject to 9.1, CAPMATCH Ltd's total liability to you in any 12-month period is limited to the membership fees you paid to CAPMATCH in that period.

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the jurisdiction of the English courts.
